We are seeking an experienced corporate transactional lawyer to join ERMs global legal department, based in the US (NY or other locations in Eastern/Central zones). This role will work alongside (and report to) the Managing Counsel - Corporate who currently provides corporate legal support to ERMs group functions (Acquisitions, Tax, Treasury and Finance), advises on ERMs investment and ownership structure and is responsible for managing ERMs corporate structure and around 140 entities worldwide. The Managing Counsel - Corporate in turn reports to the Group General Counsel, both of whom are currently based in London.
You will enjoy a broad corporate role which presents new challenges daily and requires you to collaborate with ERMers, external counsel and company service providers in all parts of the world. Due to ERMs ambitious growth strategy a large part of the role will be supporting the Managing Counsel - Corporate and the Group Acquisitions Team directly with managing and advising on acquisitions. The role will also support the Group General Counsel from time to time with other corporate duties. ERM has a particular focus on acquisitions in the digital, software and technology space, so any experience in that sector would be highly valued.
When you are not busy with acquisitions, there is a constant flow of restructuring projects, corporate actions to oversee and advice required on ERMs complex ownership structure, intercompany framework and financing arrangements. The role is very varied - other projects and matters might include:

  • Advising on the legal framework of ERMs new Digital Services and Analytics business
  • Integration of new business acquisitions
  • Restructuring or rationalization of existing entities
  • New country entry and country exit
  • Supporting the Groups Share Scheme - equity offerings and buybacks
  • Capital restructurings
  • Corporate compliance and filings and maintaining company records
  • Assisting with tax and financial compliance and audit processes

This role will be ideal for a senior corporate transactional lawyer, looking to join a dynamic corporate and transactional in-house team in a business-focused role, providing end-to-end service with a wide variety of work and responsibilities. Within a busy team and mutually supportive environment, you will enjoy high value work across the full lifecycle of the business.

About You
You will have a Law Degree (J.D.) from an accredited institution and a license to practice law in at least one U.S. jurisdiction, together with a minimum of 8 years experience practising as an attorney with a large law firm and/or in a fast-paced corporate legal group for a multi-national enterprise.
You need to have general corporate and transactional experience operating at a senior level, and be interested in a role which spans not only transactional work but also corporate operational work in the context of a large global group. You can exhibit a depth of legal knowledge in the transactional space, including familiarity with specialised areas that arise frequently in transactions (e.g. corporate tax, employee benefits, employment matters, IP ownership, executive compensation, anti-trust and securities). You are used to undertaking due diligence on an acquisition target and drawing sensible conclusions, looking to mitigate risk whilst taking into account operational realities. You are very familiar with the acquisition process and the drafting and negotiation of transactional and related contracts, and have played a lead role in managing an acquisition from start to finish.
An excellent communicator with proven technical and organizational skills, with the ability to be open and candid whilst demonstrating respect for others and cultivating a culture of inclusion and trust. You'll be accustomed to working under pressure to meet challenging deadlines, and be able to thrive in a fast-paced, complex and rapidly changing environment. You display excellent business judgement and strategic thinking, with a balanced commitment to process and continuous improvement and a demonstrated ability to earn the confidence of senior executives as a trusted advisor. Our relationships with the business teams are paramount - you will have the ability to build strong and lasting relationships with internal clients, offer pragmatic and sensible advice and show a genuine commitment to their business needs. Dedicated and enthusiastic, you will have the ability to work efficiently with a commitment to good outcomes for ERM and willingness to get involved wherever there is a need.
You will have an eye for detail and be meticulous in your work, but be willing to work as part of a team engaging with and supporting colleagues to create well-considered and pragmatic approaches to problems and enhanced team contribution. Using your initiative as part of a team, you are keen to apply your skills to bring value to ERM as a global business. Being self-motivated and ambitious, you already possess the drive to help continue to grow and develop our business. Cross-jurisdictional experience is highly valued, and if you happen to have any foreign languages, this would also be advantageous but not essential.
