Job DescriptionThe Compliance Officer will play a pivotal role in enhancing and maintaining the compliance programs for our CFTC-registered Swap Dealer (SD) and SEC-registered Security-Based Swap Dealer (SBSD). This role demands a deep understanding of regulatory frameworks and the ability to collaborate effectively with various departments. The ideal candidate will bring extensive experience and expertise in derivatives and securities compliance, with a focus on governance, reporting, and risk management.
Responsibilities
- Assist in designing and executing a comprehensive compliance program for the SD and SBSD entities, ensuring adherence to CFTC and SEC rules.
- Support the Chief Compliance Officer (CCO) in developing annual compliance plans, maintaining policies, and overseeing governance forums.
- Prepare and submit annual reports to CFTC and SEC, including testing results, exceptions, and remediation tracking.
- Perform first- and second-line controls for trade reporting, managing exception reports, and ensuring data integrity.
- Coordinate oversight of relationship documentation, representations, and consent mechanics, ensuring compliance with external business conduct standards.
- Partner with the Risk function to maintain and enhance the SD risk management program, including independent testing and model/limit governance.
- Enhance trade and communications surveillance controls, calibrating alerts and escalations for fair dealing.
- Design and execute risk-based compliance testing and ongoing monitoring for SD/SBSD requirements, tracking findings and corrective actions.
- Assist in regulatory examinations and inquiries, ensuring timely and accurate responses, and managing exam-related documentation.
- Provide advisory support to Front Office, Operations, and Technology on SD/SBSD rules, including cross-border and U.S. person analyses.
Qualifications
- Bachelor's degree is required; advanced degree or recognized compliance credential (e.g., CRCM, FRM, CFA, CAIA, ACAMS) is preferred.
- Minimum of 7 years of compliance, legal, risk, or audit experience in derivatives or securities compliance at an SD, SBSD, or comparable institution.
- In-depth knowledge of CFTC SD rules (Parts 3, 23, 43/45/46) and SEC SBSD rules (Exchange Act Section 15F, Regulation SBSR) is essential.
- Demonstrated experience in governance, annual CCO reporting, compliance testing, and management of regulatory exams is required.
- Hands-on experience with SDR/SBSDR reporting workflows, data quality controls, and exception management is necessary.
- Strong understanding of business conduct standards, disclosures, suitability, and daily trading recordkeeping is a must.
- Experience with risk management program requirements, trade surveillance, and escalation frameworks is preferred.
- Proficiency in data analysis and control documentation, with experience in reporting/surveillance tools, is an advantage.
- Excellent communication skills, with the ability to explain complex regulations, and a high level of integrity and judgment.
- Travel occasionally for regulatory exams and on-site reviews.
